1. Acceptance of these Terms
By accessing or using VizOptimize, creating an account, requesting activation, using a demo or subscribing to a service, you agree to these Terms. If you are using VizOptimize on behalf of a company, you represent that you have authority to bind that company.
2. The service
VizOptimize provides software and configured workflows that may answer calls, collect lead information, classify or route opportunities, send notifications, trigger follow-up actions and connect with third-party systems. Available features depend on the plan, industry implementation and customer configuration.
We may improve, modify or replace features over time, provided that we do not materially reduce the core functionality of a paid service during a current subscription period without a reasonable business reason.
3. Customer responsibilities
You are responsible for the accuracy of business information, responder details, routing rules, schedules, service-area information, escalation instructions and other configuration you provide. You are also responsible for maintaining access to your phone, CRM and other connected systems.
You must use VizOptimize lawfully and may not use it to facilitate fraud, harassment, unlawful discrimination, deceptive practices, illegal telemarketing, unauthorized access, malicious activity or any activity that infringes another person’s rights.
4. Call recording, transcription and communications compliance
Depending on configuration, VizOptimize may record or transcribe calls and may send text messages or other communications. You are responsible for ensuring that your use of these features complies with all applicable call-recording, consent, telemarketing, privacy and messaging laws and for providing any notices or obtaining any consents required for your business.
VizOptimize may provide configurable disclosures and consent workflows, but those tools do not replace your responsibility to determine what the law requires for your specific business, callers and jurisdictions.
5. AI and automated decision limitations
VizOptimize uses automated systems and may use artificial intelligence. These systems can make mistakes, misunderstand callers or produce incomplete or inaccurate outputs. You remain responsible for reviewing and acting on leads, alerts and information provided through the service.
VizOptimize is not an emergency response provider, public safety answering point, medical service, legal service or replacement for 911 or other emergency services. The service should not be relied upon as the sole means of handling threats to life, safety or property.
6. Fees, billing and subscriptions
Paid plans, usage limits, overage charges, setup fees and billing intervals are described in the applicable order, checkout page or subscription terms presented when you purchase. Unless stated otherwise, fees are charged in advance and are non-refundable except where required by law or expressly agreed in writing.
You authorize us and our payment processors to charge the payment method provided for recurring fees and applicable usage charges until the subscription is cancelled or terminated. Taxes may be added where required.
7. Third-party services
VizOptimize may depend on or integrate with third-party telecommunications, cloud, CRM, payment, artificial-intelligence and communications providers. Your use of those providers may also be subject to their terms and policies. We are not responsible for outages, policy changes or failures caused solely by third-party services outside our reasonable control.
8. Customer data
You retain ownership of data you or your callers provide through the service. You grant us the rights necessary to host, process, transmit, analyze and otherwise handle that data to provide, secure, support and improve VizOptimize in accordance with our Privacy Policy.
You represent that you have the rights and permissions necessary for us to process information you submit or instruct us to process.
9. Intellectual property
VizOptimize, its software, workflows, site content, branding, designs, documentation and underlying technology are owned by Dash Ecommerce LLC or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the service during an active subscription, no rights are transferred to you.
10. Confidentiality
Each party may receive non-public business, technical or commercial information from the other. Each party agrees to use reasonable care to protect confidential information and to use it only as necessary for the relationship, except where disclosure is required by law or the information is already public through no breach of these Terms.
11. Availability and support
We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, telecommunications failures, internet outages, third-party incidents and events outside our control may affect availability.
12. Disclaimer of warranties
To the maximum extent permitted by law, VizOptimize is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and any warranty that the service will generate a particular number of leads, jobs, revenue or business results.
13. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business opportunities or loss of data arising out of these Terms or the service.
Except for amounts that cannot legally be limited, VizOptimize’s total aggregate liability arising out of the service will not exceed the fees paid by you to VizOptimize during the six months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to defend, indemnify and hold harmless Dash Ecommerce LLC, VizOptimize and their officers, employees and contractors from third-party claims arising from your unlawful use of the service, your business practices, your violation of these Terms, or your failure to obtain legally required notices or consents.
15. Suspension and termination
We may suspend or terminate access for non-payment, material breach, unlawful or abusive use, security risk, or conduct that creates material risk to the service or others. You may cancel according to the cancellation terms of your plan. Sections that by their nature should survive termination will continue to apply.
16. Governing law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any dispute that is not otherwise resolved by agreement will be brought in a court of competent jurisdiction in Colorado, unless applicable law requires otherwise.
17. Changes to these Terms
We may update these Terms from time to time. Material changes may be communicated through the service, by email or by another reasonable method. Continued use after updated Terms take effect constitutes acceptance where permitted by law.
